These Terms of Use (“Terms”) govern access to and use of Riffhelm, a cloud-based maintenance management and planning service (the “Service”) operated by (“Riffhelm”, “we”, “us”, or “our”).
By creating an account, starting a trial, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf.
1. The Service
Riffhelm provides tools for maintenance data import, asset and task management, preventive-maintenance planning, work-order management, reporting, and related recommendations and automation. Features may change, improve, be added, or be removed over time.
2. Business Use
The Service is intended primarily for business and professional use. You are responsible for ensuring that use of Riffhelm within your organization complies with your internal procedures and applicable laws.
3. Accounts and Security
You must provide accurate account information and keep login credentials secure. You are responsible for activity performed through your account unless caused by a security failure attributable to Riffhelm. You must promptly notify us through if you believe an account has been compromised.
4. Customer Data
“Customer Data” means information, files, records, images, maintenance schedules, asset information, work orders, user-entered content, and other data submitted to the Service by or for you.
As between you and Riffhelm, you retain ownership of Customer Data. You grant Riffhelm a limited right to host, copy, transmit, process, analyze, and display Customer Data only as reasonably necessary to operate, secure, support, improve, and provide the Service, comply with law, and perform your instructions.
Riffhelm will not claim ownership of Customer Data. We will not use Customer Data to train generalized or shared AI models unless you provide separate, explicit permission for that purpose.
5. Automated Recommendations and Decision Support
Riffhelm may use rules, algorithms, artificial intelligence, or other automated methods to interpret uploaded data and provide suggestions, classifications, scheduling proposals, trade/profession recommendations, frequencies, estimated durations, priorities, or other maintenance-related outputs.
These outputs are decision-support tools and may be incomplete or incorrect. You are responsible for reviewing and validating recommendations before relying on them where they may affect safety, legal or regulatory compliance, equipment integrity, production continuity, personnel, or material business decisions.
Riffhelm does not replace qualified maintenance personnel, engineers, safety professionals, equipment manufacturers’ instructions, statutory inspections, lockout/tagout procedures, or legally required professional judgment.
6. Customer Responsibilities
You are responsible for: (a) the legality, accuracy, quality, and integrity of Customer Data; (b) deciding who may access your organization’s account; (c) validating maintenance instructions and recommendations before execution; (d) maintaining appropriate safety, inspection, and operational procedures; (e) ensuring that you have the right to upload personal information, photos, documents, and other Customer Data.
7. Free Trial
A Free Trial is provided for evaluation. Unless expressly stated otherwise at signup: (a) no payment card is required to begin a Free Trial; (b) the Free Trial does not automatically become a paid subscription; (c) no charge will be made unless you expressly choose to purchase a paid plan; (d) trial features, limits, and duration may be displayed in the signup or account interface; (e) after a trial expires, access may be restricted, suspended, or converted to a limited/read-only state.
Riffhelm may delete or anonymize data from an expired inactive trial account after the applicable retention period described in the Privacy Policy. You should not use a Free Trial as your sole system of record for critical operational information.
8. Paid Services
If you convert a Free Trial to paid use, the purchase flow includes a required one-time Factory Activation charge for that factory in addition to the selected user subscription. The applicable activation amount, plan, user price, billing period, taxes, renewal terms, and cancellation terms will be shown before purchase or stated in the applicable order. Unless a written order states otherwise, the standard Factory Activation price is USD 399 per factory and is charged once when that Trial workspace becomes a paid Riffhelm workspace. Adding users to the same activated factory does not create another Factory Activation charge. A paid subscription or activation charge will not begin solely because a Free Trial expires; you must expressly choose to purchase.
9. Acceptable Use
You may not: (a) access or use the Service unlawfully; (b) attempt to bypass authorization, tenant separation, or security controls; (c) introduce malicious code; (d) interfere with the Service or another customer; (e) reverse engineer the Service except to the extent a restriction is prohibited by law; (f) use the Service to store or process data you have no lawful right to process.
10. Confidentiality
We will treat non-public Customer Data as confidential and will use reasonable measures to protect it. This does not apply to information that is public through no breach by Riffhelm, was lawfully known to us without confidentiality obligations, or must be disclosed by law.
11. Intellectual Property
Riffhelm and all software, interfaces, branding, designs, documentation, product logic, and other materials supplied by us are owned by Riffhelm or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the Service during an authorized subscription or trial, no rights are transferred to you.
If you voluntarily provide product feedback, you permit us to use that feedback without restriction or payment, provided that we do not disclose your confidential information in doing so.
12. Third-Party Services
The Service may rely on third-party providers for hosting, databases, authentication, email, analytics, artificial-intelligence processing, or other infrastructure. Their availability may affect the Service. We remain responsible for selecting and managing providers as required by applicable law and our agreements.
13. Availability and Changes
We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free availability. We may perform maintenance, update features, or change technical components.
14. Disclaimer
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. Riffhelm does not warrant that every imported record, recommendation, schedule, classification, calculation, or generated output will be accurate, complete, or suitable for a particular maintenance environment.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Riffhelm will not be liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, production, business opportunity, goodwill, or data, arising from use of the Service.
To the maximum extent permitted by law, Riffhelm’s aggregate liability relating to the Service will not exceed the fees paid by the customer to Riffhelm during the three months preceding the event giving rise to liability. For a Free Trial for which no fees were paid, aggregate liability will not exceed USD 100 or the equivalent amount in local currency.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
16. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access for material breach, security risk, unlawful use, non-payment of paid services, or where required by law. Where reasonably possible, we will provide notice before termination.
17. Privacy
Our handling of personal information is described in the Riffhelm Privacy Policy, which forms part of the Service documentation.
18. Changes to these Terms
We may update these Terms. Material changes will be communicated through the Service, website, email, or another reasonable method. The updated Terms will state their effective date.
19. Governing Law
Unless mandatory law requires otherwise, these Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles. Disputes will be submitted to the competent courts in Israel, unless otherwise agreed in a written customer order.
